Independently provide legal and transaction advisory to all functions and teams, including commercial team, procurement teams, marketing and business team across India, Southeast Asia and Australia, with oversight from the Associate Counsel APZ. Primary role will include review of Sale Agreements, Procurement Agreements, Equipment Purchase Agreements, Service Agreements, Non-disclosure and Confidentiality Agreements across the entire APZ region.

Support the Associate Counsel APZ in strategic initiatives and compliance of Board/ Entity secretarial compliance of the group entities across the APZ region, i.e. McCormick entities operating in Singapore, India, Australia, Thailand and Malaysia.

 

Key Responsibilities: 

  • Review, vetting and drafting of agreements and advising the commercial teams towards management and mitigation of legal and contractual risk for business transactions across region.
  • Research and advisory on legal provisions to address questions from business teams.
  • Assistance in formulating compliance checklists to monitor and manage legal & compliance risks across the region. Follow up with business teams to update compliance status and highlight exceptions.
  • Assistance in maintenance and Updation of central database of agreement templates across the region.
  • Assistance in maintaining statutory registers, secretarial records of legal entities across India, Southeast Asia and Australia.
  • Assistance in litigation and recovery proceedings, to ensure cost protection for the regional entities.

 

Desired Candidate Profile: 

  • Associate Member of the Institute of Company Secretaries of India and LLB.
  • 5+ years of minimum experience required. 
  • Effective written and verbal communication
  • Good understanding of commercial transactions
  • Ability to work in teams and extend cross-functional collaboration
  • Deep understanding of manufacturing operations
