We are looking to hire an Associate Counsel  immediately in a Hybrid (50/50) capacity at our Global Headquarters in Hunt Valley, Maryland.   This is not a remote role.

 POSITION OVERVIEW:   As part of McCormick’s Corporate Legal Team, this position is an exciting opportunity to join a collegial, dynamic legal department and work with other members of the legal team, including Legal Department leadership. The successful candidate will be a motivated and relationship-driven problem-solver, and will provide clear, timely, and practical counseling to business leaders on a variety of legal matters, including reviewing, negotiating, and drafting procurement-related contracts.

RESPONSIBILITIES:

  • Review, draft, analyze, negotiate, and interpret a high volume and broad range of complex procurement contracts, including, packaging, raw materials, co-manufacturing contracts, master services agreements, marketing agreements, professional services agreements, equipment purchase agreements, construction contracts, software license agreements, and SaaS agreements.
  • Assist in the analysis of claims and resolution of contract disputes and other complex contract issues.
  • Develop and maintain contract templates and standard provisions for use in procurement transactions.
  • Advise business stakeholders and Procurement Category Managers on commercial and legal risks.
  • Function as a business partner to Procurement Category Managers and business stakeholders to effectively manage commercial and legal risks in contracts.
  • Educate business stakeholders and Procurement Category Managers on critical contract provisions, including, indemnification, limitation of liability and intellectual property concerns.
  • Ensure that procurement-related contracts comply with applicable federal, state, and local laws.
  • Collaborate with management on key legal issues to facilitate risk assessment and pragmatic decision making and to develop viable business solutions to potential legal issues.
  • Participate as the legal representative on various cross-functional projects and initiatives and work collaboratively with key functional groups within McCormick. 

REQUIRED QUALIFICATIONS & SKILLS:

  • Juris Doctorate degree, or equivalent, from an accredited law school; Admitted to the bar and licensed to practice law in at least one state.
  • 3-5 years of substantive legal experience reviewing, drafting, negotiating, and advising clients on a variety of contracts and contract related matters, including professional services agreements, master services agreements, lease agreements, and supply agreements with a corporate legal department or a nationally recognized law firm. 
  • Willingness and flexibility to learn and master new and different legal practice areas.
  • Ability to adapt to changing situations and manage an array of legal issues.
  • Ability to develop, foster, and maintain long-term effective working relationships at all levels of the Company.
  • Ability to manage multiple matters, follow through, and provide sensible, responsive, and practical advice in a timely fashion.
  • Excellent organizational, communication (verbal and written), and people skills; sound legal and business judgment.
     

PREFERRED QUALIFICATIONS & SKILLS:

  • Experience with a range of procurement related contracts and/or commercial contracts, including cross-border.
  • Initiative-taking, practical, problem solver with strong business acumen.
  • Ability to build positive relationships with internal business stakeholders and leadership, with a demonstrated ability to influence outcomes positively.
  • A collaborator with the ability to efficiently manage a significant volume of transactions.
